Welcome. By accessing, purchasing, enrolling in, or participating in any product, program, coaching service, course, membership, event, digital content, or community offered by What Magnificence LLC (“Company,” “we,” “us,” or “our”), you agree to the following Terms & Conditions.
If you do not agree, do not access or participate in our services.
1. Scope of Services
What Magnificence LLC provides educational coaching, digital programs, and community-based services focused on personal development, including but not limited to:

Executive and personal coaching

Health and nervous system education

Breathwork and cold exposure education

Financial and lifestyle education
-
Relationship and parenting education
-
Performance and personal growth training
All services are educational in nature.
We do not guarantee specific results. Outcomes vary based on individual effort, circumstances, and implementation.
2. Nature of Coaching & Professional Boundaries
Coaching is a forward-focused, collaborative process designed to support behavioral change and personal growth.
Coaching is NOT:

Psychotherapy
-
Mental health treatment
-
Medical diagnosis or treatment
-
Clinical counseling
-
Financial, legal, or investment advising
We do not diagnose, treat, or cure medical or psychological conditions.
Nothing provided through our programs constitutes medical or psychological treatment under Utah law or any other jurisdiction.
If you are experiencing medical or psychological distress, you agree to seek licensed professional care.
Participation does not create a therapist-client or medical provider-patient relationship.
3. Medical Disclaimer
Our programs may include education about breathwork, cold exposure, nutrition, physical habits, or lifestyle practices.
You understand:

These practices involve inherent risks.

Possible risks include dizziness, fainting, arrhythmias, loss of consciousness, heart attack, stroke, or other complications.

You agree never to practice such techniques while driving, swimming, operating machinery, or in any environment where loss of consciousness would create danger.
You accept full responsibility for your physical and mental health.
Always consult a licensed medical professional before beginning any new health practice.
4. Financial Disclaimer
All financial or business content is educational only.
We do not provide fiduciary, investment, tax, or legal advice.
You are solely responsible for your financial decisions and outcomes.
5. Coaching Services (1:1 Clients)
If you enroll in private coaching:

Sessions begin and end on time.

If you are more than 15 minutes late, the session may be forfeited.

24 hours’ notice is required to reschedule.

Missed sessions are non-refundable.
Coaching commitments may include minimum term agreements. Payment obligations remain due regardless of participation unless otherwise stated in writing.
We reserve the right to terminate a coaching relationship at our discretion if it is no longer beneficial or aligned. In such cases, a prorated refund for unused sessions may be issued at our discretion.
6. Digital Products & Programs
Unless explicitly stated otherwise:

Digital products are non-refundable.

Program access is for personal use only.

Login sharing is prohibited.

Materials may not be copied, distributed, reproduced, or taught as your own.
Violation may result in revoked access without refund.
7. Refund Policy
Refund terms vary by product and will be stated on the relevant sales page.
Unless expressly stated:

Digital products are non-refundable.

Coaching services are non-refundable.

Payment plans must be completed in full.
8. Chargeback Policy
By making a purchase, you agree not to initiate a chargeback or payment dispute without first contacting us at [email protected].
Improper chargebacks constitute a breach of this Agreement.
We reserve the right to:

Revoke access to all programs without refund

Dispute the chargeback with documentation

Pursue collection or legal remedies
9. Community Participation & Media Release
Live calls may be recorded.
By participating, you grant permission for brief excerpts of audio or video to be used for educational or promotional purposes.
We agree:

Full names will not be used.

Content will not be misrepresented.

Content will not be used in a harmful or embarrassing manner.
You may opt out by emailing [email protected].
10.1 Private Coaching Confidentiality
We respect the confidentiality of private coaching sessions.
Information shared during 1:1 coaching will not be disclosed to third parties without your written consent, except:

When required by law

When there is a reasonable belief of imminent risk of serious harm to you or others

As permitted below under Professional Consultation
10.2 Professional Consultation
In order to provide high-quality services, we may, at our discretion, consult with trusted professional advisors, mentors, or subject-matter experts regarding client situations.
When doing so:

No personally identifiable information will be shared.

Discussions will be conducted in a de-identified and anonymous manner.

The purpose of consultation is professional development, ethical reflection, and service quality improvement.
By participating in our services, you consent to this limited professional consultation process.
10.3 Group Programs
Confidentiality cannot be guaranteed in group programs or community settings. Participants are expected to act with discretion and integrity.
11. Intellectual Property
All materials are the exclusive property of What Magnificence LLC and protected by copyright laws.
You may not:

Reproduce materials

Share login credentials

Republish content
-
Teach materials as your own
12. Assumption of Risk & Release
Participation is voluntary and at your own risk.
You agree to release, indemnify, and hold harmless What Magnificence LLC, Chase Thornock, and all affiliates from any claims related to:

Physical health outcomes

Psychological or emotional distress
-
Business or financial decisions
-
Personal or relationship outcomes
13. Limitation of Liability
To the fullest extent permitted by law, our total liability shall not exceed the amount paid by you for the specific product or service in dispute.
We shall not be liable for indirect, incidental, consequential, or punitive damages.
14. Binding Arbitration & Dispute Resolution
Any dispute arising from or relating to these Terms or participation in our services shall be resolved exclusively through binding arbitration in the State of Utah.
You agree:

Arbitration will be conducted under the rules of the American Arbitration Association (AAA).

Arbitration shall take place in Utah.

You waive the right to a jury trial.

You waive the right to participate in a class action or collective proceeding.
Each party shall bear its own legal fees unless otherwise required by law.
If any portion of this arbitration clause is found unenforceable, the remaining provisions shall remain in effect.
15. Force Majeure
We shall not be liable for failure to perform due to events beyond our reasonable control, including but not limited to:

Internet outages

Illness

Acts of God
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
17. Governing Law
These Terms shall be governed by the laws of the State of Utah.
You consent to jurisdiction in Utah for enforcement of arbitration awards or where arbitration is not applicable.
18. Entire Agreement
These Terms constitute the entire agreement between you and What Magnificence LLC.
